Terms of Service for ProfitGreen

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("User," "you," or "your"), and Arnav Murthi, operating as ProfitGreen ("we," "us," or "our"). These Terms govern your access to and use of the profitgreen.app website, the ProfitGreen documentation website ("Docs"), the ProfitGreen Discord Bot ("The Bot"), and any related services (collectively, the "Services").

Our Privacy Policy, Cookie Policy, Return and Refund Policy, and Financial & AI Content Disclaimer are incorporated into and form part of these Terms.

BY INVITING THE BOT TO A SERVER, INTERACTING WITH THE BOT, VIEWING ITS OUTPUTS, ACCESSING OUR WEBSITE OR DOCUMENTATION, OR LOGGING INTO OUR WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICES.

1. FINANCIAL DATA & INVESTMENT DISCLAIMER (CRITICAL)

1.1 NOT FINANCIAL ADVICE. Arnav Murthi, operating as ProfitGreen, is a provider of financial information and data visualization tools. We are NOT a registered investment adviser, broker-dealer, financial planner, or tax professional. All information provided, including but not limited to stock quotes, automated or AI-generated content, sentiment data, and technical charts, is general and impersonal, is not tailored to any individual's financial situation, and is provided for educational and informational purposes only.

1.2 NO GUARANTEE OF ACCURACY. Financial data is sourced from third-party providers. While we strive for accuracy, data may be delayed, incomplete, or inaccurate due to technical errors or market conditions. You acknowledge that "real-time" data may still have latency.

1.3 ASSUMPTION OF RISK. Trading stocks, cryptocurrencies, and ETFs involves significant risk of loss. You are solely responsible for your own investment decisions. Arnav Murthi, operating as ProfitGreen, shall not be liable for any financial losses, damages, or missed opportunities resulting from the use of our Services.

1.4 AUTOMATED & AI-GENERATED CONTENT. Certain outputs, including but not limited to sentiment analysis, news summaries, market interpretations, and automated data insights (collectively, "AI Content"), are produced by automated algorithms or machine-learning models operated by us or our third-party data providers.

  • Hallucinations: You acknowledge that AI Content may contain factual errors, misinterpretations, or "hallucinations."
  • No Professional Oversight: AI Content is generated without human review.
  • Verification Required: You agree to verify any AI Content with primary financial sources (e.g., SEC EDGAR filings) before making any investment decisions.

1.5 PAPER TRADING. The Bot's portfolio features are a simulation that uses virtual funds only. Virtual balances, positions, and gains have no monetary value, cannot be redeemed, withdrawn, or exchanged for cash or anything of value, and do not reflect real trading results. Simulated results do not account for real-world factors such as liquidity, slippage, fees, or taxes, and are not indicative of results you would achieve with real money.

2. ELIGIBILITY & ACCOUNTS

2.1 AGE REQUIREMENT. You must be at least thirteen (13) years old, and at least the minimum age required by Discord's Terms of Service in your country, to use the Services. If you are under the age of majority where you live (18 in most U.S. states), you may use the Services only with the involvement and consent of a parent or legal guardian, and only a parent or legal guardian may purchase a Pro subscription on your behalf.

2.2 DISCORD ACCOUNTS. You access the Services through your Discord account. You are responsible for all activity that occurs under your account and for keeping your account credentials secure. Your use of Discord is also governed by Discord's own terms and policies, which we do not control.

2.3 SERVER ADMINISTRATORS. If you invite the Bot to a server or configure it on behalf of a server, you represent that you have the authority to do so and that you will inform your server's members, as appropriate, that the Bot is in use.

3. SUBSCRIPTION TIERS & PERMITTED USE

3.1 BASIC TIER (FREE). The Basic Tier is provided strictly for Personal, Non-Commercial use only. You may not use the outputs of the Basic Tier for business operations, paid newsletters, or any revenue-generating activity.

3.2 PRO TIER (PAID). The Pro Tier (Monthly, Yearly, or Lifetime) is purchased for a single Discord server and grants a limited, non-exclusive, non-transferable license for Commercial Use within that server. Pro users may incorporate Bot outputs into their professional workflows or community environments, provided they do not resell or redistribute the raw data as a stand-alone service. All use of market data remains subject to any restrictions imposed by our third-party data providers and the exchanges that supply them.

3.3 LIFETIME PLAN. A "Lifetime" plan is a one-time payment that grants Pro access for the designated server for as long as we continue to operate the ProfitGreen Pro service. "Lifetime" refers to the lifetime of the service, not the lifetime of the purchaser or the server. A Lifetime plan is not transferable to another server except at our discretion.

3.4 RESTRICTIONS. Regardless of tier, you may not:

  • Scrape, crawl, or use automated scripts to extract data from the Bot, website, or documentation.
  • Redistribute Bot screenshots or data in a manner that competes with ProfitGreen.
  • Attempt to reverse-engineer the Bot's code or data sourcing methods.
  • Interfere with, overload, or disrupt the Services, or attempt to gain unauthorized access to any part of them.
  • Use the Services for any unlawful purpose, including market manipulation or the dissemination of false or misleading financial information.

4. BILLING, CANCELLATION, AND REFUNDS

4.1 AUTOMATIC RENEWAL. Monthly and Yearly subscriptions automatically renew at the end of each billing period (every month or every year, respectively) at the price shown at checkout, plus any applicable taxes, until you cancel. By subscribing, you authorize us, through our payment processor Stripe, to charge the payment method on file at the start of each renewal period. Lifetime plans are a one-time charge and do not renew.

4.2 CANCELLATION. You may cancel your subscription online at any time, without contacting us, via the Dashboard on our website or through the Stripe Customer Portal. Cancellation takes effect at the end of your current paid period: you will not be charged again, and you will retain Pro access until that period ends. You may also cancel by emailing us at [email protected].

4.3 REFUND POLICY. As our Services are digital and provide immediate value, all sales are final except as described in our Return and Refund Policy or where required by applicable law.

4.4 PRICE CHANGES. We may change our pricing from time to time. If we change the price of an active subscription, we will notify you in advance as required by applicable law, and the new price will apply starting with your next renewal after that notice. If you do not agree to the new price, you may cancel before it takes effect.

4.5 TAXES. Applicable sales, use, or similar taxes are calculated at checkout based on your billing address and shown before you complete your purchase.

4.6 CHARGEBACKS. If you dispute a charge with your bank or card issuer rather than contacting us first, we may suspend Pro access for the affected server while the dispute is pending.

5. INTELLECTUAL PROPERTY

The Services, including the Bot, website, documentation, and all related software, text, graphics, and logos, are owned by Arnav Murthi, operating as ProfitGreen, or our licensors, and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. Market data and third-party content remain the property of their respective owners. If you send us feedback or suggestions, we may use them without obligation to you.

6. THIRD-PARTY SERVICES

The Services rely on third-party services, including Discord, Stripe, and financial data providers. We are not responsible for the availability, accuracy, or conduct of any third-party service, and your use of them is governed by their own terms and policies.

7. SERVICE AVAILABILITY & CHANGES

7.1 NO UPTIME GUARANTEE. Arnav Murthi, operating as ProfitGreen, does not guarantee 100% uptime. Maintenance, Discord API outages, or data provider issues may cause temporary unavailability. We are not liable for any damages resulting from such interruptions.

7.2 CHANGES TO THE SERVICES. We may add, change, or remove features of the Services at any time, including commands and data sources that depend on third-party providers.

8. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARNAV MURTHI, OPERATING AS PROFITGREEN, DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DATA WILL BE ACCURATE, COMPLETE, OR TIMELY.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARNAV MURTHI, OPERATING AS PROFITGREEN, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, TRADING LOSSES, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) FIFTY U.S. DOLLARS ($50).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU. IN THAT CASE, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

10. INDEMNIFICATION

You agree to indemnify and hold harmless Arnav Murthi, operating as ProfitGreen, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.

11. TERMINATION

We reserve the right to terminate or suspend your access to the Services (including paid subscriptions) immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties (such as violating Discord's Terms of Service). If we terminate a paid subscription for your violation of these Terms, you will not receive a refund. You may stop using the Services at any time by removing the Bot from your server and cancelling any active subscription. Sections 1, 5, and 8 through 14 survive termination.

12. GOVERNING LAW & DISPUTE RESOLUTION

12.1 GOVERNING LAW. These Terms are governed by the laws of the State of North Carolina and applicable U.S. federal law, without regard to conflict-of-law principles.

12.2 INFORMAL RESOLUTION. Before filing any claim, you agree to first contact us at [email protected] with a description of the dispute and give us thirty (30) days to try to resolve it informally.

12.3 VENUE. Any dispute that is not resolved informally shall be brought exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of those courts. Either party may instead bring an individual claim in a small claims court of competent jurisdiction.

13. CHANGES TO THESE TERMS

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above, and for material changes we will provide reasonable advance notice, such as on our website or in our Support Discord Server. Changes take effect when posted unless stated otherwise. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. Price changes to active subscriptions are governed by Section 4.4.

14. GENERAL

14.1 ENTIRE AGREEMENT. These Terms, together with the policies incorporated above, are the entire agreement between you and us regarding the Services.

14.2 SEVERABILITY. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

14.3 NO WAIVER. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

14.4 ASSIGNMENT. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a sale or transfer of the Services.

14.5 FORCE MAJEURE. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of Discord, our hosting providers, or our data providers.
